The Strategic Alliance is not intended to create a partnership but, rather, a relationship between the two Firms that allows them to work together and to draw on the resources of each firm as may be appropriate. Matters to be handled under the Strategic Alliance must be specifically so designated by the Firms in a formal engagement letter. Clients or matters of each of the Firms are not under the Strategic Alliance.
